Terms of Service

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CORDOC LLC ("Company," "we," "us," or "our") concerning your access to and use of the fidus.im website and the Fidus application (collectively, the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

2. Description of Service

Fidus is an AI-powered educational platform that allows users to upload documents and generate study materials including presentations, audio narrations, study notes, and interactive AI tutoring. The Service includes both browser-based features that run locally and cloud-based AI processing features.

3. Eligibility

You must be at least 13 years of age to use the Service. By using the Service, you represent and warrant that you meet this eligibility requirement. If you are under 18, you represent that you have your parent or guardian's permission to use the Service.

4. User Accounts

Some features of the Service may be available without creating an account. If you create an account, you are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Ensuring your account information is accurate and current

5. Acceptable Use

You agree not to use the Service to:

  • Upload, process, or distribute any content that infringes on intellectual property rights
  • Upload content that is illegal, harmful, threatening, abusive, defamatory, or otherwise objectionable
  • Attempt to gain unauthorized access to the Service or its systems
  • Interfere with or disrupt the Service or servers
  • Use the Service for any commercial purpose without our consent
  • Reverse engineer, decompile, or disassemble the Service
  • Use automated means to access the Service without permission
  • Violate any applicable laws or regulations
  • Upload malicious files, viruses, or harmful code

6. User Content

Your Content: You retain ownership of any documents, files, or content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited license to process, transform, and display your content solely for the purpose of providing the Service to you.

Responsibility: You are solely responsible for your User Content and represent that you have all necessary rights to upload and process such content. You must ensure your use of uploaded materials complies with applicable copyright laws and licensing terms.

Generated Content: Content generated by our AI (presentations, notes, summaries) based on your User Content is provided for your personal educational use. We make no guarantees about the accuracy or completeness of generated content.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by CORDOC LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. Our trademarks may not be used without our prior written consent.

8. Third-Party Services

The Service may integrate with or rely on third-party services (such as AI providers, cloud storage, or payment processors). Your use of these services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that defects will be corrected, or that AI-generated content will be accurate or suitable for any particular purpose.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CORDOC LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

  • Your use or inability to use the Service
  • Any unauthorized access to or use of our servers
  • Any bugs, viruses, or other harmful code transmitted through the Service
  • Any errors or omissions in any content
  • Reliance on AI-generated content

Our total liability shall not exceed the amount you paid us, if any, in the twelve months prior to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless CORDOC LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of the Service, your User Content, or your violation of these Terms.

12. Modifications to Service

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuance of the Service.

13. Termination

We may terminate or suspend your access to the Service immediately, without prior notice or liability, for any reason, including breach of these Terms. Upon termination, your right to use the Service will immediately cease.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts located in Wake County, North Carolina.

15. Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at contact@fidus.im. We'll try to resolve the dispute informally within 30 days.

16. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable.

17. Entire Agreement

These Terms, together with our Privacy Policy and any other legal notices published on the Service, constitute the entire agreement between you and CORDOC LLC regarding the Service and supersede all prior agreements.

18. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the Service after any changes constitutes acceptance of the new Terms.
